Pinpoint Media maintains the watch1010.com Website (“Site”). The following are the terms of use that govern use of the Site (“Terms of Use”). By using the Site you expressly agree to be bound by these Terms of Use and the watch1010.com privacy policy and to follow these Terms of Use and all applicable laws and regulations governing use of the Site. Pinpoint Media reserves the right to change these Terms of Use at any time, effective immediately upon posting on the Site. Please check this page of the Site periodically. We will note when there are updates to the Terms of Use at the bottom of the Terms of Use. If you violate these Terms of Use, Pinpoint Media may terminate your use of the Site, bar you from future use of the Site, and/or take appropriate legal action against you.

LIMITED LICENSE

You are granted a limited, non-exclusive, revocable and non-transferable license to utilise and access the Site pursuant to the requirements and restrictions of these Terms of Use. Pinpoint Media may change, suspend or discontinue any aspect of the Site at any time. Pinpoint Media may also, without notice or liability, impose limits on certain features and services or restrict your access to all or portions of the Site. You shall have no rights to the proprietary software and related documentation, if any, provided to you in order to access the Site. Except as provided in the Terms of Use, you shall have no right to directly or indirectly own, use, loan, sell, rent, lease, license, sublicense, assign, copy, translate, modify, adapt, improve or create any new or derivative works from or display, distribute, perform or in any way exploit the Site or any of its contents (including software) in whole or in part.

SITE OPERATION

United Arab Emirates is our Country of Domicile. Pinpoint Media controls this Site from the UAE. Pinpoint Media makes no representation that this Site is appropriate for use in other locations. If you use this Site from other locations you are responsible for ensuring compliance with local laws. You may not use, export or re-export any materials from this Site in violation of any applicable laws or regulations, including, but not limited to any UAE export laws and regulations.

APPLICABLE LAW

The Laws of the United Arab Emirates shall govern the use of the Site and the Terms of Use, without regards to conflict of laws principals. All disputes arising in connection therewith shall be heard only by a court of competent jurisdiction in the UAE.

ACCESS

You are provided with access to the Website in accordance with these conditions and any orders placed by you shall be placed strictly in accordance with these conditions.

REGISTRATION

You warrant that the Personal Information that you provide when you register as a customer is true, accurate, current and complete in all respects and in particular you agree not to impersonate any other person or entity or to use a false name or a name that you are not authorised to use.

You agree to notify us immediately of any changes to your personal information by contacting our Customer Services Team.

We will take all reasonable care, in so far as it is in our power to do so, to keep the details of your order and payment secure, but in the absence on our part of negligence or failing to comply with data protection legislation, we cannot be held liable for any loss you may suffer if a third party procures unauthorised access to any data you provide.

OUR RIGHTS

We reserve the right to:

(a) Modify or withdraw, temporarily or permanently, the Website (or any part thereof) with or without notice to you and confirm that we shall not be liable to you or any third party for any modification to or withdrawal of the Website; and/or

(b) Change the conditions from time to time, and your continued use of the Website (or any part thereof) following such change shall be deemed to be your acceptance of such change. It is your responsibility to check regularly to determine whether the conditions have been changed. If you do not agree to any change to the conditions then you must immediately stop using the Website.

We respect your concerns about privacy. We therefore encourage you to refer to the Privacy Policy of the Website on an ongoing basis to stay abreast of our most current Privacy Policy practices.

ONLINE ORDERS

Order Acceptance

All orders are subject to acceptance in accordance with Our Order Acceptance Policy.

If you have provided us with a valid email address, then after you have ordered we will send you an order acknowledgement email detailing the products you have ordered. This does not mean that your order has been accepted. Our acceptance of your order will take place upon dispatch of the product(s) ordered. On dispatch of your order we will send you a dispatch confirmation email, at which point the contract between us and you will be formed.

We may be unable to supply you with a product and not accept an order because:

(a) We are unable to obtain authorisation for payment or there is a problem receiving your payment;

(b) We have identified a pricing or product description error;

(c) You fail to meet the eligibility to order criteria as set out in the conditions.

If there are any problems with your order, you will be contacted by our Customer Services Team as soon as possible.

We reserve the right to reject any offer to purchase by you at any time.

If you have already paid for the products, we will refund you the full amount including any delivery costs charged as soon as possible.

All products shown on the Website are subject to availability.

We will refund you on the credit card or debit card used by you to pay.

If goods have been delivered to you before you decide to cancel your Contract: then you must return it to us without undue delay and in any event not later than 14 days after the day on which you let us know that you wish to cancel the Contract. You can send it back by our facilitate a prearranged collection by our authorised carrier. Please see our Returns Page for our returns address and how to arrange a return.

Unless the goods are faulty or not as described you will be responsible for the cost of returning the goods to us. If the goods cannot be returned by post, we estimate that if you use the carrier that delivered the goods to you, these costs should not exceed the sums we charged you for delivery. If we have offered to collect the goods from you, we will charge you the direct cost to us of collection.

PRICES AND PAYMENT

The prices of the products will be as quoted on the Website at the time you submit your order. We take all reasonable care to ensure that the prices of products are correct at the time when the relevant information was entered onto the system.

The price of a product does not include delivery charges. Our delivery charges are as advised to you during the checkout process, before you confirm your order. To check relevant delivery charges, please refer to our Delivery Charges Page.

Our Website contains a large number of products. It is always possible that, despite our reasonable efforts, some of the products on the Website may be incorrectly priced. If we discover an error in the price of the products you have ordered we will contact you to inform you of this error and we will give you the option of continuing to purchase the product at the correct price or to cancel your order. We will not process your order until we have your instructions. If We are unable to contact you using the contact details you provided during the order process, we will treat the order as cancelled and notify you in writing. Please note that if the pricing error is obvious and unmistakeable and could have reasonably been recognised by you as a mispricing, we do not have to provide the Products to you at the incorrect (lower) price.

You confirm that the credit or debit card used for the purchase of the Goods is yours. All credit and debit cards are subject to validation checks and authorisation by the card issuer. If the issuer of your payment card refuses to or does not, for any reason, authorise payment to us, we will not be liable for any delay or non-delivery

PROMOTIONS AND DISCOUNTS

Promotions

Discounts are issued in the form of either savings or a percentage off, which is offered to customers via promotional emails, advertisements, on-site banners or third party communications.

There is no cash alternative and all applicable terms and conditions are non-negotiable. Unless otherwise stated, discounts are only applicable to full-price items (sale and clearance items are not included). We reserve the right to cancel or change any promotion/discount without notice, at any time.

Using promotional codes

If using a promotional code, the code provided should be entered in the Promotional Code box at the checkout. Some promotions will be subject to a minimum spend threshold (please refer to the original source of the promotion). Wherever a minimum spend threshold applies, the minimum spend does not include shipping costs.

Returning an item purchased under a promotion

Items purchased using a promotional code are subject to our Returns Policy.

OFFICE FOREIGN ASSETS CONTROL (OFAC) SANCTIONED COUNTRIES

Pinpoint Media will not trade with or provide any services to individuals and companies owned or controlled by, or acting for or on behalf of, OFAC targeted countries and individuals, groups and entities, such as terrorists and narcotics traffickers designated under the OFAC programmes that are not country specific.

REPRESENTATIONS BY YOU

By visiting the Site, you represent, warrant and covenant that

(a) You are at least 18 years old;

(b) That all materials of any kind submitted by you to Pinpoint Media through the Site or for inclusion on the Site will not plagiarise, violate or infringe upon the rights of any third-party including trade secret, copyright, trademark, trade dress, privacy, patent or other personal or proprietary rights. The customer using the Website who are minor/under the age of 18 shall not register as a user of the website and shall not transact on or use the Website.

INTELLECTUAL PROPERTY

Pinpoint Media is not responsible for the content, quality or accuracy of data provided by users, compilations of such data, text, information and other materials made available to users through Pinpoint Media’s system. The online material is Pinpoint Media’s intellectual property, and is protected by international intellectual property laws. The online material may not be copied or redistributed either in whole or in part without prior written consent of Pinpoint Media, except as expressly and specifically permitted under these Terms of Use.

The online material is and will remain the exclusive property of Pinpoint Media. All rights, titles and interests in and to the online material will be and remain vested solely in Pinpoint Media. Under no circumstances will you have any right, directly or indirectly, to own, use, copy, loan, sell, rent, lease, license, sublicense, redistribute, assign or otherwise convey the online material, or any rights thereto, except as expressly and specifically provided in the Terms of Use. Nothing in these Terms of Use will convey to you any right, title or interest, except that of a license with the express rights and subject to all limitations herein. Nothing in these Terms of Use grants you the right, directly or indirectly, to use the online material to create a product for resale or to use the online materials in any way that competes with Pinpoint Media.

You acknowledge and agree that Pinpoint Media will own all rights, titles and interests in and to any copy, translation, modification, adaptation, derivative work or improvement of the online materials made by or for you. At Pinpoint Media’s request, you must execute, or obtain the execution of, any instrument that may be necessary to assign these rights, titles or interests to Pinpoint Media or perfect these rights, titles or interests in Pinpoint Media’s name.

DISCLAIMER OF WARRANTY, LIMITATION OF DAMAGES

Pinpoint Media makes no warranty or representation of any kind, either express or implied, including but not limited to warranty of title or non-infringement or implied warranty of merchantability, fitness for a particular purpose, non-infringement or other violation of rights in relation to the availability, accuracy, validity, reliability or content of these pages and/or the site. Pinpoint Media also does not make any representation or warranty regarding the accuracy or reliability of any advice, opinion, statement or other information that is submitted, displayed or uploaded through the site by any user. Pinpoint Media shall not be liable for any direct, indirect, incidental, special or consequential damages, lost profits or for business interruption arising out of the use of or inability to use this site, even if Pinpoint Media has been advised of the possibility of such damages. Some jurisdictions do not allow exclusion of certain warranties or limitations of liability, so the above limitations or exclusions may not apply to you. The liability of Pinpoint Media would in such case be limited to the greatest extent of liability permitted by law.

VIOLATION OF TERMS OF USE

You understand and agree that in Pinpoint Media’s sole discretion, and without prior notice, Pinpoint Media may terminate your access to the Site, or exercise any other remedy available and remove any unauthorized user information, if Pinpoint Media believes that the information you provide has violated or is inconsistent with these Terms of Use, or violates the rights of Pinpoint Media, or any third party, or violates the law. You agree that monetary damages may not provide a sufficient remedy to Pinpoint Media for violations of these Terms of Use and you consent to injunctive or other equitable relief for such violations. Pinpoint Media may release user information about you if required by law or subpoena.

INDEMNITY

You agree to indemnify and hold Pinpoint Media, its subsidiaries, affiliates, officers, agents and other partners and employees, harmless from any loss, liability, claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of or relating to your use of the Site, including also your use of the Site to provide a link to another site or to upload content or other information to the Site, or your breach of the Terms of Use.

ADVERTISING

The Site may contain advertisements and/or sponsorships. The advertisers and/or sponsors that provide these advertisements and sponsorships are solely responsible for insuring that the materials submitted for inclusion on the Site are accurate and comply with all applicable laws. Pinpoint Media is not responsible for the acts or omissions of any advertiser or sponsor.

SEVERABILITY

If any provision of the Terms of Use is held to be invalid, void or unenforceable, the remaining provisions shall nevertheless continue in full force and effect.
